1. Agreement to Terms
By accessing and using the website and services of New Spiritz (“we,” “our,” “us”), you (“Client,” “you”) agree to comply with and be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use our services.
2. Services Overview
New Spiritz provides digital solutions, including but not limited to customized software development, mobile app development, and digital strategies. We serve corporate clients and governments, utilizing technologies such as AI, Laravel, React JS, React Native, and Augmented Reality.
3. Client Responsibilities
Clients agree to:
- Provide accurate, complete, and timely information necessary for project execution.
- Ensure compliance with all applicable laws and regulations in using our services.
- Respect and adhere to the intellectual property rights of New Spiritz and any third parties.
4. Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property rights—including software, designs, strategies, code, and documentation—developed by New Spiritz remain the sole and exclusive property of New Spiritz.
- Clients are granted a non-exclusive, non-transferable license to use the deliverables for internal purposes only.
- Any client-provided materials (e.g., logos, data, content) shall remain the property of the client.
5. Confidentiality
Both parties agree to treat all confidential, proprietary, or sensitive information shared during the engagement as strictly confidential. This obligation applies to employees, contractors, and third-party collaborators and shall survive the termination of this agreement.
6. Payment Terms
- Invoices will be issued according to the agreed schedule set out in the project contract.
- Payments are due within 14 days of the invoice date unless otherwise agreed.
- Late payments may incur a 1.5% monthly interest or the maximum interest allowed by applicable law.
- In case of late payment, the client shall also be responsible for any reasonable costs incurred in the collection of overdue amounts, including legal fees.
7. Warranties and Limitations
- New Spiritz warrants that all services will be performed with reasonable care and skill.
- We do not guarantee that services will be error-free or that all defects will be corrected immediately.
- Except as expressly stated, all warranties—express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement—are disclaimed.
- In no event shall New Spiritz be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use our services.
8. Termination
New Spiritz may suspend or terminate services if:
- The client breaches these Terms or any provisions of the project contract.
- The client fails to make payments on time.
Upon termination, all outstanding amounts become immediately due and payable. Certain clauses, including those related to intellectual property, confidentiality, and liability, shall survive termination.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
10. Force Majeure
Neither party shall be held liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, war, labor disputes, pandemics, or governmental actions.
11. Changes to Terms
New Spiritz reserves the right to update or modify these Terms at any time. Changes will be posted on our website. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
